UCVPN Terms of Service

Last Updated: November 1, 2026
Effective Date: November 1, 2026

This service is provided by UC NET TECHNOLOGY CO., LTD., established and operating in Japan (hereinafter referred to as "the Company," "we," or "UCVPN"). Company address: OKUUCHI NO.2 BLDG. 507, 3-9-9 UTSUBOHONMACHI, NISHI-KU, OSAKA, OSAKA, JAPAN.

Please read these terms carefully before registering, purchasing, or using the UCVPN website, applications, and related services (collectively referred to as "the Service"). By using the Service, you agree to these terms, the Privacy Policy, and the subscription and transaction conditions clearly displayed to you on the purchase page. If you do not agree, please cease registration, purchase, or use of the Service.

1. Operating Entity and Scope of Application

1.1 UCVPN is a network connection and privacy protection service operated by the Company. Supported systems, functions, server locations, and available packages are subject to the actual display on the official website, application, and purchase confirmation page.

1.2 These terms apply to the UCVPN official website, client, account system, technical support, and paid subscriptions directly provided by the Company. Services purchased through the Apple App Store, Google Play, or other third-party platforms are also subject to the rules of the respective platforms; in case of conflict between platform rules and these terms, the mandatory rules of the platform shall prevail concerning settlement, cancellation, or refund matters for which the platform is responsible.

1.3 These terms do not exclude rights granted to consumers by the Civil Code of Japan, Consumer Contract Act, Act on Specified Commercial Transactions, and other mandatory laws. Any attempt to exclude mandatory consumer rights shall apply only to the extent permitted by law.

2. Contract Formation, Age, and Guardian Consent

2.1 You enter into a contract with the Company electronically when you complete registration, click the purchase confirmation button, install, or use the Service.

2.2 You must have the civil capacity required to enter into a contract. Users who have not reached the legal age of majority in their location must obtain valid consent from a parent or legal guardian before using paid services. Guardians allowing minors to use the Service should supervise their use and payment behavior.

2.3 You must ensure that registration, purchase, and contact information is true, accurate, and kept up to date, and you must not impersonate others or use others' payment methods.

3. Account and Security

3.1 You must properly safeguard your account, password, verification codes, and login devices, and you must not sell, rent, transfer, or share your account with individuals beyond the package's allowed scope.

3.2 If you discover unauthorized logins, payments, or other security incidents, please notify us immediately using the contact information listed in these terms. We may require identity verification, credential reset, or temporarily restrict the account to protect the account, users, or the Service.

3.3 In the absence of intentional or gross negligence by the Company, losses arising from the user's failure to reasonably protect login credentials shall be borne by the user in accordance with the law. This clause does not limit liabilities that cannot be limited by law.

4. Service Content, Changes, and Maintenance

4.1 The Service uses technologies such as encrypted connections to help improve the privacy and security of network connections, but it does not replace device security measures, account security measures, or user compliance with the rules of accessed services.

4.2 We may update, suspend, or adjust functions, servers, application versions, or supported platforms due to security, technical, operational, legal compliance, or changes in third-party services. For planned maintenance or changes that significantly adversely affect users, we will notify you in advance through the website, application, or email where reasonably feasible.

4.3 If significant adverse changes occur to paid services, you may stop renewing before the changes take effect; where laws or purchase conditions provide otherwise, you may also legally claim cancellation, refund, or other remedies.

5. Pricing, Payment, and Automatic Renewal

5.1 Package prices, currencies, taxes, subscription periods, discount conditions, payment methods, service start times, and whether automatic renewal applies are subject to the final confirmation page before you submit your order. We will clearly display important transaction conditions on the final confirmation page and allow you to confirm or correct the order content in accordance with the requirements of the Act on Specified Commercial Transactions of Japan.

5.2 For packages marked as "automatic renewal," unless you cancel before the next billing date using the methods provided on the account page or purchase platform, the subscription will renew at the period and price shown on the confirmation page. We will notify you in advance within the time required by applicable law if there is a price change; no retroactive charges will be applied without legal permission or necessary consent.

5.3 Canceling automatic renewal usually only stops the next cycle's deduction, and the service for the current paid cycle can continue to be used until expiration. Uninstalling the application or deleting the UCVPN account does not automatically cancel subscriptions from third-party app stores; you must still complete the cancellation on the respective platform.

5.4 Third-party payment institutions, banks, or app stores may charge exchange rates, cross-border, or channel fees, which are determined by the respective institutions and should be displayed under their rules.

6. Cancellation and Refunds

6.1 As a general rule, mail-order transactions in Japan are not subject to the unconditional cooling-off regime applicable to certain transactions such as door-to-door sales. This does not affect any mandatory right you may have to rescind or terminate the contract, obtain a refund, or claim damages under the Consumer Contract Act, the Act on Specified Commercial Transactions, or other applicable law.

6.2 For subscriptions directly sold by the Company, the cancellation method, application period, refund conditions, and possible fees are subject to the conditions clearly displayed before purchase and on the final confirmation page. If the displayed content is inconsistent with these terms, the content more favorable to the consumer and in compliance with mandatory laws shall prevail.

6.3 For duplicate charges, unauthorized charges, failure to provide services as agreed, or situations where a refund is legally required, we will handle them in accordance with the law after verification. Refunds that meet the conditions will generally be returned to the original payment method, and the time to receive the refund depends on the bank or payment channel.

6.4 Purchases completed through the Apple App Store, Google Play, or other third-party channels should first apply for cancellation or refund through that channel; the Company will provide necessary assistance within a reasonable scope.

6.5 When applying, please provide the order number, registered account, payment proof, and a reasonable explanation of the issue. We will not request sensitive information unrelated to processing the application.

7. Legal and Acceptable Use

7.1 You must comply with Japanese law, the mandatory laws of your location, the applicable laws of the server location you connect to, and the valid rules of the platform you access.

7.2 You must not use the Service to engage in or assist in the following activities:
(1) Unauthorized access, scanning, interference, or destruction of networks, systems, accounts, or data;
(2) Distribution of malicious software, denial-of-service attacks, cyberattacks, fraud, money laundering, harassment, extortion, or identity impersonation;
(3) Creation, acquisition, or distribution of child sexual abuse material or other seriously illegal content prohibited by law;
(4) Infringement of copyright, trademark rights, privacy rights, personal information rights, or other legal rights;
(5) Sending illegal spam, engaging in malicious crawling, traffic manipulation, or circumventing reasonable technical restrictions;
(6) Reselling, sharing, or otherwise providing the Service beyond the scope permitted by the purchased package;
(7) Using the Service for other activities that violate applicable laws.

7.3 We will not restrict accounts solely for lawful expression. If there is reasonable evidence that an account is involved in major violations, security risks, or valid legal requirements, we may investigate, restrict, or terminate the Service within a scope proportionate to the risk and explain the reasons where permitted by law and not hindering investigation.

8. Privacy and Personal Information

8.1 We process personal information in accordance with the Act on the Protection of Personal Information of Japan and its related guidelines and the UCVPN Privacy Policy. The Privacy Policy explains the purposes of processing, data categories, sharing, cross-border processing, security measures, retention periods, and user rights.

8.2 We process personal information only to the extent necessary for providing the Service, ensuring security, fulfilling contracts, complying with laws, or obtaining valid consent. When legally required to disclose information to government or law enforcement agencies, we will review the legality and scope of the request and respond only within the scope required by law.

8.3 The specific content of personal information processing is subject to the Privacy Policy; in case of inconsistency between these terms and the Privacy Policy on personal information matters, the Privacy Policy and mandatory laws shall prevail.

9. Notifications and Marketing Information

9.1 Important notifications related to account security, payments, service changes, or terms updates may be sent via email, application notifications, account messages, or official website announcements.

9.2 Advertising or marketing electronic information will only be sent where permitted by applicable law or with necessary consent. You may withdraw marketing consent at any time through the unsubscribe method in the information or by contacting us; service and security notifications are not affected by marketing unsubscription.

10. Intellectual Property

10.1 Except for content legally owned by third parties, the software, interface, text, graphics, trademarks, logos, database structure, and related results of the Service are owned by the Company or licensors and are protected by the Copyright Act, Trademark Act, Patent Act, Unfair Competition Prevention Act of Japan, applicable international treaties, and other intellectual property laws.

10.2 Subject to your compliance with these terms, the Company grants you a limited, personal, non-exclusive, non-transferable, and revocable license to use the Service only within the scope permitted by the package.

10.3 Without written permission from the Company or rights holders, you must not copy, modify, sell, rent, sublicense, publicly transmit the Service, nor engage in reverse engineering, circumvent technical protection, or remove rights notices beyond the scope prohibited by law.

11. User Content and Feedback

11.1 You retain rights to user content you legally own. If you voluntarily submit content to the Service, you grant us a non-exclusive license worldwide to the extent necessary for hosting, transmitting, displaying, and providing corresponding functions; this license terminates after content deletion within the reasonable backup and statutory obligation period.

11.2 Product suggestions or feedback you voluntarily provide may be used by us to improve the Service, but we will not acquire rights to your personal information or existing works beyond what is necessary for that purpose.

12. Third-Party Services and Links

The Service may connect to third-party websites, app stores, payment services, or network resources. Third-party services are the responsibility of their operators and are subject to their own terms and privacy policies. We will be responsible for the liability we should bear by law when selecting, integrating, or managing third-party services, but we do not make false guarantees about content completely controlled by third parties and beyond our reasonable control.

13. Suspension, Termination, and Account Deletion

13.1 You may stop using the Service, cancel renewals, and apply for account deletion according to the account deletion policy.

13.2 If you seriously or repeatedly violate these terms, cause real security risks, default on due fees, or we must comply with valid legal requirements, we may take measures proportionate to the risk, such as restriction, suspension, or termination. In non-emergency situations, we will notify you in advance where possible and provide a reasonable opportunity for appeal.

13.3 After service termination, payment obligations, intellectual property, liability limitations, dispute resolution, and other terms that should continue by nature remain effective. The deletion and retention of personal information are handled according to the Privacy Policy, account deletion policy, and applicable laws.

14. Warranty Disclaimer and Liability Scope

14.1 We will provide the Service with reasonable care and professional standards, but due to the uncertainties of the internet, devices, operators, and third-party networks, we do not guarantee that the Service will be uninterrupted, error-free, or achieve specific speeds at any time, location, device, or network environment, nor do we guarantee access to any specific third-party content.

14.2 These terms do not exclude or limit liability for intentional or gross negligence by the Company, nor do they exclude or limit liabilities that cannot be excluded or limited under the Consumer Contract Act and other mandatory laws.

14.3 In cases of slight negligence by the Company where liability limitation is permitted by law, the Company is only liable for actual losses that are typically and directly incurred, with compensation capped at the total service fees you paid to the Company in the twelve months preceding the event causing the claim. This limitation does not apply to personal injury or other liabilities that cannot be limited by law.

14.4 Liability for losses arising from illegal use by users, failure to take reasonable account security measures, or use beyond the normal scope of the Service shall be determined based on the fault of both parties and applicable laws; the Company will not unilaterally determine the existence of liability under these terms.

15. Force Majeure

In the event of delays or interruptions caused by natural disasters, war, major public health events, large-scale communication or power failures, lawful government orders, and other events beyond the reasonable control of the parties and unavoidable by reasonable means, the affected party shall not be liable for the delay within the scope permitted by law. The affected party shall take reasonable measures to mitigate the impact and resume performance as soon as conditions permit. Payment or other obligations that cannot be exempted by force majeure under the law are not affected by this clause.

16. Changes to Terms

16.1 We may modify these terms due to changes in laws, regulations, security, functions, or operations. For modifications that significantly affect user rights or obligations, we will notify you in a clear and reasonable manner before they take effect and specify the effective date.

16.2 The modified terms do not apply retroactively. If you do not agree with significant modifications, you may stop using and cancel renewals before they take effect; your continued use of the Service after they take effect indicates acceptance of the modified terms, except where the law requires separate explicit consent.

17. Governing Law and Dispute Resolution

17.1 These terms are governed by and interpreted in accordance with Japanese law, without affecting the rights users enjoy under the mandatory consumer protection laws of their habitual residence.

17.2 In the event of a dispute, the parties shall first negotiate in good faith through customer service. If negotiations fail, the Osaka District Court shall be the agreed court of first instance, subject to mandatory law not otherwise providing jurisdiction.

18. Miscellaneous

18.1 If any part of these terms is found to be invalid or unenforceable, the remaining parts shall continue to be effective; the invalid part shall be interpreted in a manner that is closest to the original intent and protects the statutory rights of consumers within the scope permitted by law.

18.2 The Company's failure to immediately exercise a right does not constitute a waiver of that right.

18.3 These terms are provided in multiple languages. In case of ambiguity between versions, the Japanese version shall be the basis for interpretation, but this shall not reduce the rights consumers enjoy under mandatory laws.
